Introduction

Welcome to SolutionHQ, an online marketplace platform provided by the American Society of Association Executives (ASAE) and powered by Insight Guide^(TM). These Terms and Conditions govern your access to and use of SolutionHQ, including any content, functionality, and services offered on or through https://solutionshq.asaecenter.org (the "Platform". Additionally, the Platform is subject to the ASAE Policy of Terms & Conditions and Privacy found on www.asaecenter.org and/or related properties, (together the “Site”).

By accessing, browsing, or using the Platform, and particularly by creating an account and/or logging into the site, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Platform.

Definitions

"Platform" refers to SolutionHQ, the online marketplace operated by ASAE.
"User," "you," or "your" refers to any individual or entity that accesses or uses the Platform.
"Member" refers to a registered user who has created an account on the Platform.
"Supplier" refers to companies or individuals offering products or services through the Platform.
"Content" refers to all information, text, images, data, links, software, or other material that you submit to the Platform.

Account Registration and User Information

Account Creation
To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
User Information Display
By creating an account and logging into SolutionHQ, you explicitly grant ASAE permission to display certain elements of your personal information on the Platform, including but not limited to:

Your name
Your profile photo
Your job title
Your company name
Your professional recommendations, reviews, or testimonials
Your engagement activities (such as "Follows," "Likes," etc.)

This information may be displayed in connection with your activities on the Platform, including supplier recommendations, reviews, follows, likes, or other interactions.
Content Ownership and License
You retain ownership of any Content you submit to the Platform. However, by submitting Content, you grant ASAE a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content on the Platform and in all media now known or hereafter developed.

Privacy and Data Protection

Data Collection and Use
ASAE collects and processes personal information in accordance with its Privacy Policy, which is incorporated by reference into these Terms and Conditions. By using the Platform, you consent to such processing and you warrant that all data provided by you is accurate.
Data Removal and Account Deletion
If at any time you wish to have your information removed from the Platform or your account deleted entirely, you must submit a request via email to support@insightguide.com. ASAE will process such requests within a reasonable timeframe (typically within 30 days) and will confirm the deletion once completed.

Upon receiving a deletion request, ASAE will:

Delete your account
Remove your personal information from the Platform
Remove any content attributable to you, including recommendations, reviews, and other engagement activities

Please note that some information may be retained in archived/backup copies for legal purposes or as required by law.

User Conduct

Prohibited Activities
You agree not to engage in any of the following activities:
Violating any applicable laws or regulations
Impersonating any person or entity
Submitting false or misleading information
Interfering with the proper functioning of the Platform
Engaging in any activity that could disable, overburden, or impair the Platform
Using the Platform for any illegal or unauthorized purpose
Uploading viruses or other malicious code
Attempting to gain unauthorized access to the Platform or other users' accounts
Content Guidelines
All Content submitted to the Platform must:
Be accurate (where stating facts)
Be genuinely held (where stating opinions)
Comply with applicable laws and regulations
Not infringe on any third party's intellectual property or privacy rights
Not be defamatory, offensive, hateful, or discriminatory
Not promote illegal activities or harm to others

ASAE reserves the right to remove any Content that, in its sole discretion, violates these guidelines.

Supplier-Specific Terms

Suppliers using the Platform agree to additional terms:

Suppliers are responsible for the accuracy of all information provided about their products or services
Suppliers must respond to inquiries from potential customers within a reasonable timeframe
Suppliers must fulfill any obligations arising from interactions with customers through the Platform
ASAE does not guarantee any specific level of engagement or business for Suppliers

Modification of Terms

ASAE reserves the right to modify these Terms and Conditions at any time. When material changes are made, ASAE will provide notice through the Platform or by other means. Your continued use of the Platform after such modifications constitutes your acknowledgment and acceptance of the modified Terms and Conditions.

The most current version of the Terms and Conditions will always be posted on the Platform, with the effective date clearly indicated at the top of the document. It is your responsibility to check the Terms and Conditions periodically for changes.

Termination

ASAE reserves the right to terminate or suspend your account and access to the Platform at any time, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms and Conditions.

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms and Conditions that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, MATERIALS, INFORMATION, SERVICES, AND PRODUCTS PROVIDED ON THE PLATFORM, INCLUDING SUPPLIER LISTINGS, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ASAE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL ASAE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM.

Indemnification

You agree to defend, indemnify, and hold harmless ASAE, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms and Conditions or your use of the Platform.

Governing Law

These Terms and Conditions and your use of the Platform shall be governed by and construed in accordance with the laws of the United States and the District of Columbia, without regard to its conflict of law provisions.
